Product Demo Program - Agreement

This Brand Product Demo Program Agreement (the “Agreement”) is entered into by and between Yarbo International Inc. (the “Company”) and the participating Product Demo ProgramHost (the “Host”) (collectively, the “Parties”). By applying to the Product Demo Program (the “Program”), the Host agrees to the following terms and conditions:

1. Eligibility

1.1 The Program is open exclusively to individuals who have purchased a Yarbo Unit (including but not limited to Yarbo Core, Snow Blower, Lawn Mower, Blower, 4-in-1, etc.) directly from the Company or its authorized dealers.
1.2 The Host must be at least 18 years of age or the legal age of majority in their jurisdiction of residence.
1.3 Proof of purchase may be requested by the Company at any time as a condition of continued participation in the Program.

2. Scope of Services

2.1 The Host agrees to promote and demonstrate Yarbo products by sharing their genuine ownership experiences through in-person meetups, events, or informal demonstrations arranged by the Host.
2.2 The Host shall always conduct themselves professionally and in a manner consistent with the Company’s brand values and communications guidelines.
2.3 The Host agrees not to misrepresent the features, capabilities, or performance of Yarbo products.

3. Rewards and Referral Program

3.1 Hosts may be eligible to receive referral rewards based on their participation level and successful customer conversions influenced by their direct interactions.
3.2 Qualifying conversions are defined as valid purchases made by new customers who indicate that the Host's demonstration or communication played a role in their decision.
3.3 Referral rewards may include product accessories, merchandise, limited edition items, exclusive discounts, or other non-monetary benefits, as determined solely by the Company.
3.4 Rewards are non-transferable, non-refundable, and not redeemable for cash.
3.5 Rewards for qualifying referrals will be issued 30 daysafter the new customer’s verified purchase, subject to no return or cancellation.
3.6 The Company reserves the right to validate the source of referrals and withhold rewards if fraud, misrepresentation, or manipulation is suspected.

4. Compliance with Laws and Guidelines

4.1 The Host agrees to comply with all applicable laws and regulations, including the Federal Trade Commission (FTC) Endorsement Guidelinesand any relevant consumer protection laws.
4.2 The Host shall clearly and prominently disclose their relationship with the Company and the fact that they may receive rewards in connection with product referrals.
4.3 The Host shall avoid making false or misleading claims about Yarbo products.

5. Program Duration and Termination

5.1 Either Party may terminate this Agreement at any time by providing written notice to the other Party.
5.2 The Company may terminate the Host’s participation immediately in the event of non-compliance, misconduct, or reputational harm to the Company.
5.3 Upon termination, the Host must discontinue any promotional activities and return any materials provided by the Company.
5.4 The Host will retain any referral rewards earned and confirmedprior to the termination date unless termination was due to fraud or serious breach.

6. Intellectual Property

6.1 All trademarks, copyrights, and other intellectual property associated with Yarbo products remain the exclusive property of the Company.
6.2 The Host may not use Yarbo branding or assets without prior written approval from the Company.
6.3 Any content (e.g., photos, videos, testimonials) created by the Host as part of the Program must be original and must not infringe the rights of any third party.
6.4 The Host grants the Company a non-exclusive, royalty-free, worldwide license to use, share, and distribute such content for promotional purposes, with attribution where feasible.

7. Confidentiality

7.1 The Host agrees to treat all confidential information provided by the Company as strictly confidential and shall not disclose such information to any third party without written consent, unless required by law.

8. Governing Law and Jurisdiction

8.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Yarbo International Inc. is incorporated.
8.2 Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in such jurisdiction.

9. Host Obligations

9.1 The Host shall share authentic and constructive feedback and experiences using their Yarbo Unit with potential customers.
9.2 The Host must behave in a respectful and brand-aligned manner during any representation of the Company.
9.3 The Host agrees to respond to questions or inquiries from prospective customers honestly and in good faith.

10. Modifications

10.1 The Company reserves the right to revise this Agreement at any time. Material changes will be communicated to the Host via the email address provided, with at least thirty (30) days’ notice before they become effective.

11. Entire Agreement

11.1 This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or communications, whether oral or written, relating to the subject matter herein.
