This Brand Showcase Agreement (the "Agreement") is entered into between Yarbo (the "Company") and the associated Showcase Owner (the "Showcase Owner") collectively referred to as the "Parties." Upon application of the Showcase program, the following terms and conditions shall apply.

1. 1.1 The Yarbo Showcase Program ("the Program") is open to customers who have purchased any Yarbo Units(Yarbo Core, Snow Blower, Lawn Mower, Blower, 4-in-1, ect.). 1.2 Participants must be at least 18 years old or the legal age of majority in their country of residence.

2. Scope of Services: 2.1 The Showcase Owner shall promote and endorse the Company’s products/services, through various in-person events and meetups arranged by the Showcase Owner. 2.2 The Showcase Owner shall conduct themselves in a professional manner, consistent with the Company’s image, values, and guidelines provided by the Company.

3. Rewards: 3.1 Showcase Owners will be eligible to receive rewards based on their level of participation and engagement, as determined by Yarbo. 3.2 Rewards may include merchandise, accessories, special discounts on future purchases, limited edition models, or customized options. 3.3 Rewards are non-transferable, non-exchangeable, and cannot be redeemed for cash. 3.4 Showcase Owners will receive a reward when new customers make a purchase after being influenced by their interactions. 3.5 The specific reward for new customers will be determined by Yarbo and may be subject to change. 3.6 All rewards earned by the Brand Showcase Owner will be eligible for delivery upon the associated customer order, having cleared the 30 day waiting period from the date of purchase.

4. Compliance with FTC Guidelines: 4.1 The Showcase Owner agrees to comply with all applicable laws, rules, and regulations, including but not limited to the Federal Trade Commission (FTC) guidelines, governing the endorsement and promotion of products. 4.2 The Showcase Owner shall clearly disclose their relationship with the Company and their receipt of rewards for endorsing the Products in each promotional communication, in a manner consistent with the FTC guidelines. 4.3 The Showcase Owner acknowledges and understands the importance of truthful and accurate representations regarding the Products and agrees not to engage in any deceptive, misleading, or unfair marketing practices.

5. Program Duration and Termination: 5.1 Either Party may terminate this Agreement for convenience by providing written notice to the other Party. 5.2 The Company reserves the right to terminate this Agreement immediately if the Brand Showcase Owner fails to comply with any of the terms and conditions set forth herein or engages in conduct that is detrimental to the Company’s reputation. 5.3 Upon termination, the Showcase Owner shall cease all promotional activities and return any Company-provided materials or assets. 5.4 Upon termination, all existing rewards will be revoked from the concerned party and/or individual.

6. Intellectual Property: 6.1 The Showcase Owner acknowledges that all intellectual property rights, including but not limited to trademarks, copyrights, and trade secrets, related to the Products and the Company’s brand shall remain the exclusive property of the Company (Yarbo). 6.2 The Showcase Owner shall not use the Company’s intellectual property without prior written consent. 6.3 Showcase Owners must ensure that any content they create complies with applicable laws and does not infringe upon the rights of any third parties. 6.4 Showcase Owners grant Yarbo the right to use any content they create and share as part of the Program for promotional purposes.

7. Confidentiality: 7.1 The Showcase Owner agrees to keep all confidential information received from the Company strictly confidential and not to disclose such information to any third party without the Company’s prior written consent, except as required by law.

8. Governing Law and Jurisdiction: 8.1 These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which Yarbo operates. By participating in the Yarbo Showcase Program, you agree to abide by these terms and conditions. 8.2 Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of the associated Yarbo operation state and/or country.

9. Showcase Owner Responsibilities: 9.1 Showcase Owners are expected to actively promote and share their positive experiences with their Yarbo through in-person events and meet-ups. 9.2 Showcase Owners must conduct themselves in a respectful and professional manner when representing Yarbo. 9.3 Showcase Owners should provide accurate and honest information about Yarbo and their products.

10. Modifications: 10.1 Yarbo reserves the right to modify these terms and conditions at any time without prior notice. 10.2 Showcase Owners will be notified of any changes through the email address provided during registration.

11. Entire Agreement: 11.1 This Agreement, including any attached exhibits, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, or agreements, whether oral or written.
